I. Content and Function

Our mission is to provide collectors worldwide with a modern platform for digitizing and showcasing their collectibles. The platform focuses on connecting like-minded individuals and engaging in topics related to collecting. By doing so, we collectively build a global and thematic network, giving each individual collection and the broader collector community the space and recognition they deserve.

1. Subject Matter of the Terms of Use

(1) Swanfield GmbH (hereinafter referred to as "Swanfield") provides the platform HYFE at www.hyfe.digital (hereinafter referred to as "the Portal"), through which registered users can upload and publish their own texts, photos, and videos (hereinafter referred to as "Content") related to their collectibles (hereinafter also referred to as "Items"). Users can create individual personal profiles, upload content to the Portal, and use the currently available features within the scope of their availability.

(2) These Terms of Use govern the provision of services by Swanfield and the use of these services by you as a registered user.

2. Scope of Functions

(1) The Portal offers various functions that allow you to engage with your passion for collecting and enjoy your hobbies in the digital world within a positive community.

(2) Currently, the Portal provides the following features:

  • Create your personal collector's profile, establish private collections, and generate their digital representation. Add images to each of your Items and complete them with all relevant and valuable information, creating a comprehensive and vibrant digital archive.
  • Share personal stories about each of your Items and let the community know what makes them unique and special to you. You may also showcase yourself with your Items, as we believe that the connection between collectors and their collectibles fuels the passion for collecting.
  • Network with other collectors and follow them. If you choose, the Portal can notify you whenever one of your contacts adds new Items to their collection or updates existing Items with additional information or images.
  • Be an expert! Comment on individual Items, inform their owners if the provided information may be incorrect, or simply share your personal opinion about their collectibles.
  • If you particularly like certain Items, you can "Like" or "Bookmark" them, adding them to your personal favorites list for quick access.
  • Swanfield presents you with the newest and trendiest Items uploaded to the Portal by category so you never miss anything.
  • Explore the Portal to discover fascinating collections, rare Items, and collectors (whether from your local area or collectors from around the world) to gain new insights, information, and trends.
  • Share Items beyond the Portal and send links to other platforms to inform your friends about specific Items and encourage them to participate.
  • The Portal offers up-to-date highlights, news, and thematic weeks on current events and trends, allowing you to engage in discussions within the community.
  • The Portal is dynamic and interactive. We regularly determine and update a virtual score for your Items. The time and effort you invest in the Portal are recognized by the community and reflected in your collector scores.

3. Changes to the Scope of Functions and Terms of Use

(1) Swanfield reserves the right to modify the functions of the Portal and/or these Terms of Use at any time, including for existing contractual relationships.

(2) Swanfield will notify you of any changes to the Terms of Use at least 30 calendar days before the changes take effect. If you do not object within 30 days of receiving the notification and continue to use the services after the objection period has expired, the changes shall be deemed accepted. In the event of an objection, the contract will generally continue under the previous conditions. Swanfield will inform you of your right to object and the consequences thereof in the change notification.

II. Registration for Use and Handling of Login Credentials

4. Eligibility for Registration

(1) The use of the services available on the Portal requires registration as a user. There is no entitlement to registration. Swanfield reserves the right to reject registration requests without stating reasons.

(2) You must be at least 16 years old to register.

(3) If registering on behalf of a legal entity, the registration must be carried out by a legally competent and authorized natural person.

5. Registration on the Portal

(1) Registration on the Portal is free of charge.

(2) The contact details and other information requested by Swanfield during registration must be provided fully and accurately. If registering a legal entity, an authorized natural person must also be named.

6. Responsibility for Login Credentials

(1) Upon registration, you will receive individual login credentials, which allow you to access the Portal after activation.

(2) Your login credentials must be kept confidential and must not be shared with unauthorized third parties.

(3) You are responsible for ensuring that your access to the Portal and the use of the available services occur exclusively through you or authorized persons. If you suspect that unauthorized third parties have gained or may gain knowledge of your login credentials, you must notify Swanfield immediately.

(4) You are liable for all actions carried out under your login credentials in accordance with legal provisions.

7. Termination of Use

(1) You may cancel your access at any time by unsubscribing from the Portal.

(2) Upon termination, the contractual relationship ends, and you can no longer use your account. Swanfield reserves the right to disable your username and password upon termination.

(3) Swanfield is entitled to permanently delete all content and data created during your usage 30 calendar days after the termination becomes effective and after any legally required retention periods expire.

III. Services and Content on the Portal

8. Service Offering and Availability

(1) Swanfield provides various informational and other services for temporary use on the Portal. These include uploading and publishing content, creating individual profiles, and connecting with other users. The scope and content of services are determined by the respective contractual agreements and the functionalities currently available on the Portal.

(2) Some services on the Portal may be provided by third parties, for which Swanfield only acts as an intermediary. Different or additional terms of use may apply to such services, which Swanfield will inform you of where applicable.

(3) The use of services on the Portal is subject to Swanfield’s technical and operational capabilities. Swanfield strives for uninterrupted service availability but may experience temporary restrictions or interruptions (downtime) due to technical issues such as limited cloud computing service availability, software errors, or device malfunctions.

9. Modification of Services

Swanfield reserves the right to modify or discontinue free services offered on the Portal at any time.

10. Protection of Content and Responsibility for Third-Party Content

(1) The content available on the Portal is protected by copyright or other proprietary rights and belongs to Swanfield, other users, or third parties who provided the content. The compilation of content may also be protected as a database or database work under Sections 4(2), 87a(1) of the German Copyright Act (UrhG). You may only use the content in accordance with these Terms of Use and within the framework specified on the Portal.

(2) Some content on the Portal is provided by Swanfield, while others originate from users or third parties (collectively referred to as "Third-Party Content").

(3) Swanfield does not verify Third-Party Content for completeness, accuracy, or legality and assumes no responsibility or liability for such content, including its quality or suitability for a particular purpose. This applies equally to Third-Party Content on linked external websites.

IV. Use of Services on the Portal

11. Scope of Permitted Use, Monitoring of Usage Activities

(1) Your right to use the portal is limited to accessing the portal and using the features available on the portal in accordance with these Terms of Use.

(2) You are responsible for ensuring that the technical requirements necessary for the contractual use of the services (e.g., internet access) are met within your area of responsibility. Swanfield is not obliged to provide any assistance in this regard.

12. Creation of User Profiles

(1) If this functionality is available on the portal, you may personalize your user profile within the scope of these Terms of Use. Please observe the restrictions set forth in Section 15.

(2) Swanfield generally does not verify the identity of profile owners or the accuracy of the information provided in profiles. Therefore, Swanfield does not guarantee that each profile owner is the person they claim to be.

13. Posting of Own Content

(1) If this functionality is available on the portal, you may post content on the portal and make it available to third parties, subject to the following provisions.

(2) By posting content, you grant Swanfield a non-exclusive, transferable, and royalty-free right to use the respective content, including:

  • Storing and publishing the content, in particular making it publicly accessible (e.g., by displaying the content on the portal),
  • Editing and reproducing the content, to the extent necessary for its storage or publication,
  • Distributing individual pieces of content beyond the portal. This may include sharing content through the share function on other platforms or for promotional purposes via official Swanfield social media accounts.

(3) If you remove the content you have posted from the portal, the usage and exploitation rights granted to us under the preceding clause expire. However, we remain entitled to retain copies created for backup and/or evidentiary purposes. The rights of other users to content you have posted remain unaffected.

(4) You are fully responsible for the content you post. Swanfield does not verify the content for completeness, accuracy, legality, timeliness, quality, or suitability for a particular purpose.

(5) You represent and warrant to Swanfield that you are the sole owner of all necessary rights to the content you post on the portal, or that you are otherwise authorized (e.g., through a valid permission from the rights holder) to post the content on the portal and grant the usage and exploitation rights under clause (2).

(6) Swanfield reserves the right to refuse the posting of content and/or to edit, block, or remove already posted content (including messages to other users) without prior notice if posting the content by the user or the content itself violates Section 15 or if there is concrete evidence that a serious violation of Section 15 will occur. Swanfield will take your legitimate interests into account and choose the least restrictive means to prevent the violation of Section 15.

14. Usage Rights to Content Available on the Portal

(1) Unless expressly permitted by these Terms of Use or enabled on the portal through specific functionalities (e.g., a download button),

  • you may access and display the content available on the portal online. This usage right is limited to the duration of your contractual use of the portal,
  • you are prohibited from modifying, altering, translating, presenting, performing, publishing, exhibiting, reproducing, or distributing the content available on the portal, whether in whole or in part. It is also prohibited to remove or modify copyright notices, logos, trademarks, or other legal notices.

(2) Mandatory statutory rights (including reproduction for private and other personal use under Section 53 UrhG) remain unaffected.

15. Prohibited Activities

(1) You are prohibited from engaging in any activities on or in connection with the portal that violate applicable laws, infringe on third-party rights, or violate the principles of youth protection. In particular, the following actions are prohibited:

  • Posting, distributing, offering, or promoting pornographic, youth protection-violating, data protection-violating, unlawful, and/or fraudulent content, services, and/or products;
  • Using content that insults or defames other users or third parties;
  • Using, providing, and distributing content, services, and/or products that are legally protected or subject to third-party rights (e.g., copyrights) without explicit authorization.

(2) Additionally, the following activities are prohibited when posting content on the portal or communicating with other users (e.g., by sending personal messages):

  • Distributing messages (including text or symbols in images or videos) that contain hints of commercial activity, propaganda, immorality, advertising, or other content not solely intended for the depicted purpose;
  • Spreading viruses, trojans, and other harmful files;
  • Sending junk or spam emails and chain letters;
  • Distributing suggestive, offensive, sexually explicit, obscene, or defamatory content, or content promoting racism, bigotry, hatred, physical violence, or unlawful actions (explicitly or implicitly);
  • Harassing other users, such as by repeatedly contacting them against their response or lack thereof;
  • Soliciting other users to disclose passwords or personal data for commercial or unlawful purposes;
  • Distributing and/or publicly displaying content from the portal unless explicitly permitted by the rights holder or provided as a functionality on the portal.

(3) The portal may not be used as a commercial display space for professional traders. Advertising items and offering them for sale are not integral parts of the portal. For this purpose, the portal may link to third-party services beyond Swanfield's responsibility.

(4) Any action that could impair the smooth operation of the portal, especially those that place an excessive load on Swanfield’s systems, is also prohibited.

(5) If you become aware of any illegal, abusive, contractual, or otherwise unauthorized use of the portal, you may report it via the reporting functions available on the portal or contact us via the information provided in the imprint. Swanfield will review the matter and, if necessary, take appropriate action.

(6) If there is suspicion of unlawful or criminal activities, Swanfield is entitled to review your activities and, if necessary, take appropriate legal action.

16. Trading and Exchange of Collectibles Between Users

(1) The Platform may provide features that allow users to mark their collectibles (“Items”) with indicators, for example to signal a general interest in trading or selling such Items. Items marked accordingly may be discoverable through the Platform’s search and filtering functions.

(2) In this context, the Platform serves solely as a means of displaying and enabling the discovery of such Items. The Platform itself does not facilitate, broker, or execute any purchase, sale, or exchange transactions, and no payment processing takes place through the Platform.

(3) Any contact, negotiations, agreements, and the execution of transactions relating to Items occur exclusively and directly between the respective users and outside the Platform. The operator of the Platform is not a party to any such agreements.

(4) The operator assumes no responsibility or liability for the initiation, content, or execution of any agreements between users. This includes, in particular:

  • the accuracy or completeness of information relating to Items,
  • the authenticity, origin, condition, or availability of collectibles,
  • any value estimates or price indications,
  • payments between users,
  • shipping, delivery, or transfer of Items,
  • and any disputes or damages arising from agreements between users.

(5) Unless explicitly stated otherwise, the operator does not verify the identity of users, the authenticity of collectibles, or the accuracy of information provided by users.

(6) The use of indicators or search functions relating to potential trading or selling intentions does not constitute a guarantee that an Item is actually available for trade or sale.

(7) Users are solely responsible for conducting appropriate due diligence, including verifying the identity of their trading partner and the information provided regarding Items before entering into any transaction. Any agreements with other users are entered into entirely at the users’ own risk and responsibility.

(8) The operator assumes no liability for statements, representations, or assurances made by users in the course of communication with one another, regardless of the communication channel used.

(9) The operator reserves the right to modify, restrict, or discontinue features related to the marking or discovery of Items at any time, where technically, organizationally, or legally necessary.

17. Blocking of Access

(1) Swanfield may temporarily or permanently block your access to the portal if there is concrete evidence that you have violated these Terms of Use and/or applicable law, or if Swanfield has any other legitimate interest in blocking your access. In making this decision, Swanfield will appropriately consider your legitimate interests.

(2) In the event of a temporary or permanent block, Swanfield will revoke your access authorization and notify you via email.

(3) If your access is temporarily blocked, Swanfield will reactivate it after the blocking period has expired and notify you via email. A permanently blocked access authorization cannot be restored. Permanently blocked individuals are permanently excluded from using the portal and may not re-register.

18. Data Protection

Swanfield is committed to handling users' personal data responsibly. The personal data resulting from your registration on the portal and your use of the available services will only be collected, stored, and processed by Swanfield to the extent necessary for contractual performance, permitted by law, or required by legal regulations. Swanfield will treat your personal data in accordance with applicable data protection laws and will not disclose it to third parties. Further details can be found in the Privacy Policy.

19. Limitation of Liability

If you suffer damage from using free services provided on the portal (including access to free content), Swanfield is only liable if the damage arises from the contractual use of the free content and/or services and only in cases of intent (including fraudulent intent) or gross negligence on the part of Swanfield.

V. Miscellaneous Provisions

20. Severability Clause

If any provision of these Terms of Use is or becomes invalid, the validity of the remaining provisions shall not be affected. A valid provision that most closely reflects the economic intent of the parties shall replace the invalid provision.

21. Governing Law

These Terms of Use are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

22. Jurisdiction

For merchants, the exclusive place of jurisdiction for all disputes arising from these Terms of Use is Stuttgart, Germany.
